Service Agreement
A. General Activities
This system provides various e-commerce platform software and interface services for commercial users, including product listing, order processing, procurement management, supplier management, warehouse management, and data reporting, etc. Merchants can effectively solve their daily e-commerce operations through this system.
To ensure service quality, customer privacy, and to guarantee the integrity, security, reliability, and privacy of this system's products, systems, networks, services, server hosting implementation, and the materials contained therein, this Acceptable Use Policy (AUP) defines the acceptable use of the service. Customers of this system are required to comply with the AUP as a term of accepting the network services of this system.
Customers of this system are fully responsible for their access, publication, posting, or other forms of utilization of the content, interface protocols, and services of this system's network services.
B. Prohibited Activities
Any customer or other service user who engages in or participates in any of the activities described below, through the implementation of a certain service, violates our policy (whether these activities are actual or attempted, and whether they are direct or indirect).
Any of the following actions (each referred to as a "Prohibited Activity") constitute abuse of the network services of this system and interference with other customers. These actions are strictly prohibited:
Advertising, transmitting, or otherwise making available any software, program, product, or service that violates the AUP. This includes but is not limited to tools used to send unsolicited commercial information or any form of communication or unsolicited bulk email ("SPAM"), as well as tools for running Ping commands, flood attacks, and denial-of-service attacks.
Impersonating users or other service tools, which are provided to this system or other service users, or for engaging in activities or behaviors aimed at concealing or disguising customer service or end-user identity or contact. This includes but is not limited to intentionally disclosing, deleting, forging, or misrepresenting important information, such as customer operation information, order information, product information, operational data, etc.
Engaging in any other activity that:
Violates laws or regulations, including but not limited to disclosing user data, infringing on user privacy, trafficking in vital business data, adult-related products, copyright infringement, counterfeits, registered trademarks, patents, trade secrets, or other intellectual property rights.
Violates the exclusive rights under relevant franchise agreements of this system.
Threatens the integrity or security of any network or computer system, including but not limited to spreading viruses, Trojan horses, worms, mail bombs, keylogging, spyware, adware, or any harmful programs or designs similar to computer code intended to adversely affect computer software or hardware operations.
Aims in any way to harm or attempt to harm minors.
Attempts to use services in a manner to evade fees or other requirements for use.
Otherwise diminishes or interferes with the use of any service by other users.
Violates any legal obligations owed to third parties, such as contractual obligations or duties owed.
Violates generally recognized standards for internet or other network behavior and usage, including but not limited to web page modification, network scanning, and unauthorized system penetration.
Engaging in any of the above activities through the use of services provided by other providers, except for activities directed through a certain service by means of a certain system account, mail agent, or other method. Any customer or end user of a customer who indirectly violates this AUP or attempts to violate this AUP, as well as any third party representing any customer or end user of a customer who actually violates this AUP or attempts to violate this AUP, shall be considered as a violation of this AUP by the customer or end user of the customer.
C. Rights and Remedies
If we determine that any customer, its representative, or end user has violated or failed to comply with this AUP or engaged in (or allowed others to engage in) any prohibited activities, we may take such action as we deem appropriate. This may include any or all of the following:Suspending and/or terminating the customer's service at any time;
Issuing a warning to the customer;
Pursuing legal proceedings against the customer, seeking compensation for all costs (including but not limited to reasonable administrative and legal costs) incurred as a result of the violation of this AUP;
Refusing all communications from known IP locations in regions that support illegal activities, for the purpose of protecting the customer's system and network resources;
Taking further legal action against the customer; and Investigating and notifying relevant law enforcement authorities if it involves illegal activities.
If this system receives a court order requiring it to disclose the identity of a customer in response to a complaint of abuse of service by that customer, we have the right to do so. If the law requires us to disclose the identity of a customer to law enforcement or other public authorities, or any other information we have about the use of the service, we also have the right to disclose.
We will consider all circumstances and complaints based on individual merits. We have the right not to take action against the customer, even if the complaint is made against the customer for a violation of this AUP.
Where feasible and permitted by law, we reserve the right to employ technical means to prevent prohibited activities. Additionally, we reserve the right to charge the customer for administrative costs related to prohibited activities, including but not limited to fees incurred in confirming the violator and in the process of disconnecting or suspending their service, in an amount equal to the actual costs incurred by us in preventing or responding to such activity.
Nothing in this AUP shall limit our legal rights and remedies with respect to any prohibited activity.
This AUP does not affect the terms and conditions applicable to international network services provided by us within the scope of this system network.
D. Password Protection
The customer is responsible for safeguarding their personal password and is accountable for any authorized or unauthorized use of their password. Without written authorization, the customer may not disclose their password or use, or allow anyone else to use the services of this system to guess passwords or access other systems or networks. If a network or network device is compromised, we have full authority to decide to assist in tracking and/or expelling the violator at the network level using what we deem to be a reasonable procedure.
E. Enforceability and Modification of AUP
If any term or part of this AUP is declared invalid for any reason, conflicting clauses shall be deemed deleted, while other terms shall remain fully valid.
F. Applicable Laws and Jurisdiction
This policy is governed by the laws of the People's Republic of China, and both parties submit to the jurisdiction of the courts of the People's Republic of China.
